Terms of Service
1. Acceptance of Terms
By accessing or using the OutputWork platform, website, or services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you represent an organization or business entity, you warrant that you have the authority to bind such entity to these Terms. If you do not agree to all of these Terms, you must not access or use the Service.
These Terms form a legally binding agreement between you, your organization, and OutputWork Inc. ("OutputWork", "we", "us", or "our").
2. Description of Service
OutputWork provides a cloud-based multi-tenant SaaS application that enables organization administrators to manage employee directories, define roles, track staff attendance, verify work progress, and automatically compute payroll/compensation schedules based on structured workload rates and attendance data.
We reserve the right to modify, suspend, or discontinue any portion of the Service at any time without prior notice or liability.
3. Accounts & Organization Roles
To use the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to keep your credentials confidential. You are fully responsible for all activities that occur under your account.
Organization Administrators (Admins): Admins have full access permissions, including the ability to invite staff, assign roles, configure base pay rates, define quantity targets, log manual adjustments, and process payments. Admins must comply with local labor laws regarding attendance and wage structures.
Staff Members: Users invited under an organization account are subject to the policies set by their respective Admins. Performance tracking, work verification logs, and attendance clocks registered through the platform will be shared directly with the Admins of that organization.
4. Platform Use & Restrictions
You agree to use the Service in compliance with all applicable laws and regulations. You shall not:
- Circumvent or attempt to circumvent security policies, including multi-tenancy access controls.
- Submit fraudulent, inaccurate, or falsified attendance or task completion records.
- Reverse engineer, disassemble, or decompile any part of the software.
- Use the platform to distribute malware, spam, or unsolicited communications.
- Attempt unauthorized access to other customers' databases or organizations.
5. Payments, Subscriptions & Fees
Billing: Certain services are offered on a subscription-fee basis. You will be billed in advance on a recurring monthly or annual schedule. All payment obligations are non-cancelable and fees paid are non-refundable, except as required by law.
Price Adjustments: OutputWork reserves the right to modify subscription pricing. We will provide at least 30 days' advance notice of any price adjustments.
Taxes: All fees are exclusive of sales, use, value-added, or other taxes, which you are responsible for paying.
6. Intellectual Property Rights
All right, title, and interest in and to the Service, including the user interfaces, logo marks, graphics, and underlying source code, are owned exclusively by OutputWork Inc. and its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business operations.
User Data: You retain all ownership rights to any organization data, worker profiles, and log records that you upload or input into the Service. You grant OutputWork a royalty-free license to process, store, and display this data strictly for the purpose of operating and maintaining the Service.
7. Privacy & Security Policies
Your privacy is highly important to us. Our data handling, storage, and isolation practices are governed by our Privacy Policy. By using the platform, you acknowledge and agree that your data is stored in isolated multi-tenant databases implementing strict Row-Level Security (RLS) policies.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUTPUTWORK INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM (I) YOUR USE OR INABILITY TO USE THE SERVICE; (II) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS; OR (III) THE ACCURACY OF AUTOMATED ATTENDANCE OR PAYROLL COMPUTATIONS.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Termination & Account Closure
You may terminate your account at any time by contacting our support team or accessing your account dashboard settings. We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms.
Upon termination, your license to use the Service immediately ceases, and your database resources will be queued for archival and safe deletion in accordance with our retention policy.
10. Governing Law & Jurisdictions
These Terms shall be governed by, and construed in accordance with, the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
